Terms of use

The terms under which breakroom.rip, its relayer and BreakRoom breaks are offered.

These terms govern your use of breakroom.rip (the "Site"), the relayer it uses (the "Relayer"), and the BreakRoom contracts on Robinhood Chain (together, "BreakRoom"), all offered by SHYGUY LLC, an Idaho limited liability company doing business as Meex ("we", "us"). By using the Site, signing a message it shows you, or sending a transaction to a BreakRoom contract, you agree to them. If you do not agree, do not use BreakRoom.

1. What BreakRoom is

A host opens a break: a contract that holds card packs for a group. The host either moves sealed packs they already own into it, or sends the ETH to buy fresh packs when the break is ripped. Guests take seats with the host's invite link. When the host rips, the break opens one pack per seat, in seat order, and the card each pack produces belongs to that seat's guest, who keeps it (the card's NFT is sent to their wallet) or takes its cash value in ETH. The packs, cards, prices and payouts are vibe.market's; BreakRoom only seats people and routes each card to its guest.

Each break is its own contract, created by the BreakRoom factory. The contracts have no owner, no admin key and no upgrade path: nobody, including us, can change a break's rules, move a guest's card elsewhere, or reverse a transaction once it is on chain. Only addresses registered by the factory are BreakRoom breaks; the Site refuses any other.

2. Eligibility

You must be at least 18 years old and legally able to enter these terms. You may not use BreakRoom if you are located in, organised in or a resident of a jurisdiction where doing so is unlawful — including where opening card packs for a chance at a cash value is regulated as gambling — or if you are subject to sanctions administered by the United States or the jurisdiction you are in. You are responsible for the laws that apply to you, including tax.

3. Hosts

A host pays for every seat's pack: guests never pay for a seat. What a host puts into a break comes back to them if it isn't used — sealed packs that weren't opened, ETH that wasn't spent, and the unused part of a gas tank — through the break's own cancel, settle, sweep and withdraw functions. A break not ripped by its rip deadline can be cancelled by anyone, which returns everything to the host. Once a pack is opened, its card belongs to its seat's guest; nothing from it goes to the host.

4. Guests

A seat is yours when your wallet joins with the host's invite link. You choose Keep or Cash when you join and may change it with your own choice after your card is revealed, until the break's claim deadline. If you do not choose, anyone may deliver your card by your saved choice one hour after it is revealed; after the claim deadline, every card still waiting is delivered as an NFT. In a break whose host covers gas you only sign messages; in any other break you send your own transactions.

5. Fees and gas

When a host opens a break that buys fresh packs, the factory takes a fee of 1% of the pack money sent, once, at creation. There is no fee on breaks with sealed packs, on gas tanks, on guests, or on any card. The fee rate is fixed in the factory's code and cannot change. A host who covers gas deposits a gas tank; the break pays back whoever submits a guest's signed action from it, capped per action, and returns what is left to the host. Robinhood Chain charges network fees; vibe.market prices its own packs and cards. Neither is ours.

6. The Relayer

The Relayer submits guests' signed joins and choices in breaks whose host covers gas, and asks vibe's randomness to reveal a pull that is late. It is a convenience: it may be slow or unavailable, and it acts only on what a guest signed. Without it, everything it does can be done by the guest or anyone else directly on the contract.

7. Third parties

Packs, cards, odds, card values, randomness and payouts are provided by vibe.market (Beb, Inc.) under vibe.market's own terms, which apply to every pack a break opens. We are not affiliated with, endorsed by or sponsored by vibe.market, Robinhood or any card creator; their names are used only to say what BreakRoom works with. Card art is theirs and is shown as their services provide it.

8. No advice, no warranty

Nothing on the Site is investment, financial, legal or tax advice. A pack is not an investment and a card is not a return. BreakRoom is provided "as is" and "as available", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted operation.

9. Risks

Using BreakRoom carries real risk, including total loss of what you put in. Read the risk disclosure; it is part of these terms.

10. Limitation of liability

To the fullest extent permitted by law, SHYGUY LLC and its members, managers, employees and contractors are not liable for any indirect, incidental, consequential, special or punitive damages, or for lost profits, lost tokens, lost cards or lost data, arising from or related to BreakRoom, however caused. Our total liability for any claim will not exceed one hundred US dollars (US$100). Where a jurisdiction does not allow these limits, our liability is limited to the extent the law allows.

11. Indemnity

You will defend and indemnify us against claims, losses and expenses (including reasonable legal fees) arising from your use of BreakRoom, your violation of these terms, or your violation of any law or third-party right.

12. Changes and termination

We may change these terms by posting a new version here with a new date. We may change, pause or stop the Site and the Relayer at any time. That never affects a break already on chain: its contract keeps its rules, and every action the Site offers can be taken directly on it.

13. Governing law and disputes

These terms are governed by the laws of the State of Idaho, USA, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Ada County, Idaho, and you consent to their jurisdiction. If any provision is unenforceable, the rest remain in force.
